1. Scope of Services

This Scope of Work outlines the interior design services to be provided by Michael Williams II dba Yungl10n Enterprises ("The Yungl10n") to Mo Iqbal ("The Client") for the client's home/apartment located in Edison, New York. Services include developing design concepts, creating 2D/3D room visuals, building mood boards and color palettes, researching, sourcing, and suggesting, furniture, appliances, decor, and various home fulfilling items for the client to purchase along with providing design consultations to support the Client in achieving their desired aesthetic and functional goals for their home/apartment.

2. Payment Terms & Compensation

The Yungl10n shall be compensated a flat fee of $650.00 USD for up to 2 distinct concepts per room/house area. A 50% deposit ($325.00) is due before work begins, and the remaining 50% balance is due upon client approval or at the end of the 24–72-hour review period, payable digitally (no cash or checks). If the client cancels after work begins, the deposit is non-refundable and they remain responsible for all completed work, while any unauthorized use of concepts or designs without full payment constitutes a breach of contract with all rights reverting strictly to The Yungl10n. Project deadlines and delivery schedules may be adjusted to account for any project delays caused by client unresponsiveness. The client receives up to three (3) consolidated revision rounds per concept submitted within the 24–72-hour review window, after which unsubmitted requests are waived and late or extra rounds incur a $50 fee. In the event of a serious family emergency or medical event, the client must notify The Yungl10n promptly to request a reasonable deadline extension of up to 7–14 business days, during which The Yungl10n maintains the right to request reasonable supporting documentation to verify the emergency or address any suspected misuse.

3. Timeline & Client Feedback

This Agreement covers interior-design services for the Client’s approximately 2,400 sq ft residence. The parties intend to meet virtually on or after August the 8th to begin planning and during August 9–16 to review or purchase items, with a final completion timeline established collaboratively. The Client must provide prompt information, access, measurements, budget approval, decisions, and payment. The Client handles all purchases, costs, taxes, shipping, installation, returns, warranties, and vendor disputes, while The Yungl10n is not responsible for delays, price changes, defects, damage, product availability, or third-party actions. Any changes to the scope, budget, design direction, or meetings require documented agreement and may incur additional fees. The Yungl10n is not an architect, engineer, contractor, or code professional, and services exclude permits, construction documents, inspections, structural advice, code compliance, or contractor supervision unless agreed in writing.

4. Deliverables

The Yungl10n will deliver files via a secure digital link as visualized files (such as PNGs, JPGs, PPTX, PDFs, etc.) containing mood boards, 2D/3D room layout visualizations, and furniture shopping links, spanning 1 to 2 distinct concepts per room with 3 deliverables each, while the client remains responsible for downloading files within 24–72 hours and providing all accurate room measurements, reference pictures, and furniture visions or lists; furthermore, services are strictly limited to remote research, suggestions, and layout concepts, meaning The Yungl10n is not a licensed contractor, assumes zero liability for building codes, structural changes, installation, or whether items physically fit based on client-provided measurements, and is entirely released from any responsibility for purchasing items, negotiating prices, or handling client funds, holding The Yungl10n completely harmless for any delays or unfulfilled deliverables caused by a lack of client cooperation.

5. Client Responsibilities

This section defines the client's obligations to ensure the project remains on schedule and within scope. The Client shall provide prompt feedback and requested information to ensure all project assets remain accurate, sound, and verifiable. The Client is responsible for supplying all necessary room measurements, reference pictures, inspirational images, and furniture lists required to complete the project in a timely manner. The Client must adhere to the review schedules and payment terms outlined in Sections 2.2 and 2.3 to maintain project momentum. Additionally, the Client acknowledges that failing to provide these necessary items, measurements, or timely feedback can directly affect and delay the project deadline, and The Yungl10n will not be held at fault or liable for any resulting delays or unfulfilled deliverables.

6. Professional Standards & Mutual Co-operation

This section establishes the expected standards of professional behavior and the commitment to a positive working relationship. The Yungl10n and the Client agree to work collaboratively to achieve project goals. Both parties commit to timely communication and a constructive approach to problem-solving, acknowledging that the successful completion of milestones relies on mutual respect and active participation. Both parties agree to maintain a professional, respectful working relationship throughout the duration of this project and beyond, ensuring that all interactions are conducted in good faith.

7. Ownership & Portfolio Rights

This section defines the transition of intellectual property and the Yungl10n's right to showcase work. Upon final payment, the Client receives full usage rights to the deliverables. Until payment is received in full, the Yungl10n retains all rights and ownership to the work produced. The Yungl10n retains a perpetual, non-exclusive right to use any project materials—including finished projects, artwork, graphics, layouts, and 3D visuals—for his professional portfolio, social media content, and marketing purposes. The Client warrants that all provided source material is cleared for such usage and agrees to hold the Yungl10n harmless from any claims arising from the use of created pieces and ideas.

8. Cancellation & Limitation of Liability

Cancellation requires a minimum of forty-eight hours' written notice, with the client paying for all services rendered through the notice date while non-refundable deposits remain retained; furthermore, all concepts, layouts, designs, 3D visuals, and creative works remain the exclusive intellectual property of The Yungl10n, meaning that if the client terminates the project early, attempts to cancel after work has begun, or utilizes any concept or design without full payment, all rights revert strictly to The Yungl10n and unauthorized use constitutes a breach of contract and copyright infringement, upon which final files are released only after full payment is received, and The Yungl10n's total liability for any claims or damages shall not exceed the total fees actually paid by the client under the agreement.
