1. Scope of Services
The Digital Media Specialist will serve as the lead provider for the Client’s digital media and content infrastructure. This includes the technical management, conversion, and optimization of legacy media, as well as high-fidelity video production and content delivery development. The Consultant is responsible for the end-to-end development of multimedia assets and their integration into the Client’s platforms to ensure an organized digital library. Initial Project Scope: The initial scope covers the processing of up to 400 multi-formated video files that are to be produced and edited in categoric batches that are determined by the Client and the Digital Media Specialist. Any volume exceeding this count will be addressed via separate project amendment. In addition to production, the Consultant will provide strategic support to align technical workflows with the Client’s evolving objectives. This scope is adaptive; as needs grow, deliverables, pricing, and timelines may be adjusted through mutual written agreement. All deliverables are subject to a five-day review period, after which they will be considered formally accepted.
2. Payment Terms & Compensation
2.1 Pricing Formula: The Digital Media Specialist shall be compensated at a flat rate of $8.33 USD per video file. The total price per batch will be determined by the number of files included in that specific batch (Total Files x $8.33). Discounts or fee waivers may be applied at the mutual discretion of the Digital Media Specialist. 2.2 Payment Schedule: Deposit: A 50% deposit of the total batch price is due upfront before the Digital Media Specialist commences work on any batch. Final Payment: The remaining 50% balance is due upon the expiration of the five-day review period or immediately upon the Client’s approval of the submitted content, whichever occurs first. Project Cancellation: Should the Client cancel a batch after work has commenced, the Client shall be liable for payment for all files processed and delivered up to the date of cancellation. All payments must be remitted digitally via an agreed-upon online payment platform (no checks or cash accepted). The 50% deposit is non-refundable if work has already begun. The Digital Media Specialist has the sole discretion to determine whether to offer a partial refund, provide digital credit toward future services, or apply a discount to accommodate the matter. 2.3 Client Review & Revisions: The Client is responsible for reviewing deliverables and providing feedback within the five-day review period. Revision Policy: To ensure high-quality output, the Client is entitled to up to three (3) consolidated rounds of revisions per batch at no additional cost. Each "round" consists of all requested changes submitted in a single, comprehensive list covering all videos within the batch. Review of Revisions: Each submitted round of revisions shall have a 24-hour review period for the Digital Media Specialist to implement changes. Expiration of Revisions: To maintain project momentum, all revision requests must be submitted within the five-day review period. Any revisions not requested within this timeframe will be considered waived, or will incur a $30 service fee, and the deliverables will be deemed formally accepted. Digital Media Specialist’s Goodwill: The Digital Media Specialist reserves the sole right to grant additional grace periods or waive revision fees at his discretion, should a mutual misunderstanding occur or in the spirit of maintaining a positive professional relationship. Additional Edits: Any requests for edits submitted after the five-day review period—or any revisions beyond the three included rounds—will be eligible for a one-time "Another Chance" grace period before incurring a service fee, which will be billed at the Digital Media Specialist’s discretion based on the scope of work. 2.4 Emergency Exception: In the event of a documented severe family emergency or incapacitating medical event that prevents the Client from reviewing deliverables or facilitating payment, the Client shall provide notice to the Digital Media Specialist as soon as reasonably possible. Upon such notification, the applicable review period and payment deadline shall be extended or waived by a reasonable timeframe, not to exceed seven (7) business days.
3. Timeline & Client Feedback
This section outlines the workflow expectations and the necessity of client cooperation for project success. 3.1 Project Pacing & Cooperation The Digital Media Specialist will work in good faith to complete deliverables in a timely manner; however, no fixed turnaround time is guaranteed. The timely completion of milestones is dependent upon the Client providing the necessary information, assets, or access required. Delays in providing these requirements will extend the production timeline. The five-day review period established in Section 2.3 commences immediately upon the delivery of each batch.
4. Deliverables
This section outlines the final output, delivery standards, and scope of services. 4.1 Format & Delivery: Files will be provided in the agreed-upon format (e.g., MP4, 1080p) via a secure digital link. 4.2 Storage Responsibility: The Client is responsible for downloading and backing up files within seven (7) days of delivery; the Digital Media Specialist is not responsible for long-term storage. 4.3 Scope Limitation: Services are strictly limited to the post-production editing agreed upon; additional support, hosting, or storage is excluded unless otherwise specified.
5. Client Responsibilities
This section defines the client's obligations to ensure the project remains on schedule and within scope. 5.1 Timely Communication: The Client shall provide prompt feedback and requested information to ensure all project assets and account setups remain accurate, sound, and verifiable. 5.2 Asset Provision: The Client is responsible for supplying all necessary raw footage, logos, and documentation required to complete the project in a timely manner. 5.3 Review Compliance: The Client must adhere to the review schedules and payment terms outlined in Sections 2.2 and 2.3 to maintain project momentum.
6. PROFESSIONAL STANDARDS & MUTUAL COOPERATION
This section establishes the expected standards of professional behavior and the commitment to a positive working relationship. 6.1 Mutual Commitment: The Digital Media Specialist and the Client agree to work collaboratively to achieve project goals. Both parties commit to timely communication and a constructive approach to problem-solving, acknowledging that the successful completion of milestones relies on mutual respect and active participation. Both parties agree to maintain a professional, respectful working relationship throughout the duration of this project and beyond, ensuring that all interactions are conducted in good faith.
7. Ownership & Portfolio Rights
This section defines the transition of intellectual property and the Specialist's right to showcase work. 7.1 Transfer of Ownership: Upon final payment, the Client receives full usage rights to the deliverables. Until payment is received in full, the Digital Media Specialist retains all rights and ownership to the work produced. 7.2 Promotional Usage: The Digital Media Specialist retains a perpetual, non-exclusive right to use any project materials—including raw footage, edited sequences, and finished projects—for his professional portfolio, social media content, and marketing purposes. 7.3 Warranties: The Client warrants that all provided source material is cleared for such usage and agrees to hold the Digital Media Specialist harmless from any claims arising from the use of said footage.
8. Cancellation & Limitation of Liability
This section defines the procedures for ending the project early and establishes a cap on liability to protect the Digital Media Specialist. 8.1 Cancellation Notice: A minimum of forty-eight (48) hours' written notice is required for any cancellation. 8.2 Payment for Work: The Client shall pay for all services rendered through the date of notice. 8.3 Non-Refundable Deposits: Any retainer fees paid are non-refundable. 8.4 Asset Release: Upon full payment for completed work, all files finished to date will be delivered to the Client. 8.5 Limitation of Liability: The Digital Media Specialist’s total liability for any claims or damages shall not exceed the total fees paid by the Client under this agreement.
